# Intel Priced 210 Million Shares. The AI Bill Came Due.

The order crossed Intel’s desk before dawn. At 2:36 a.m. ET, the company priced **210,526,315 new shares** at $95 each. The offering began Monday at $15 billion. By Tuesday morning, it had expanded to **$20 billion**. 

Intel expects about $19.7 billion after underwriting discounts, commissions, and offering expenses. The company says the money will support general corporate purposes, including capital expenditures and working capital. Closing is scheduled for 12 August, subject to customary conditions. 

There is a second chamber in the weapon. Underwriters received a 30-day option for another 31,578,947 shares. If they use it in full, the operation grows to 242,105,262 new shares. The first announcement hit Intel stock Monday; the shares fell 4.1% before the deal was increased and priced. 

The ownership math is direct. Intel reported 5.043 billion shares outstanding on 27 June. The base offering would increase that count by roughly **4.2%**. Full exercise of the option would lift it about 4.8%. After closing, an investor who buys nothing would keep the same number of shares but own a smaller fraction of the company. 

Intel did not enter the transaction without resources. At quarter-end it held $12.9 billion in cash and $16.9 billion in short-term investments. It also carried $2.0 billion of short-term debt and $48.5 billion of other debt. Equity brings cash without another maturity date or interest coupon. If the offering closes, the invoice arrives through dilution instead. 

The AI argument is visible in the operating report. Second-quarter revenue rose 25% to $16.1 billion. Data Center and AI revenue climbed 59% to $6.3 billion. Intel Foundry generated $5.8 billion of revenue, including internal business, but posted a $2.1 billion operating loss. Demand is accelerating. The manufacturing platform is still consuming capital. 

Intel is financing the AI buildout by selling a larger claim on the company. The company expects to receive the cash after closing. Existing owners will surrender a slice of every future dollar of earnings unless the new capital produces enough profit to outrun the larger share count.

THE OPERATION 

The dilution ledger 

This is an underwritten public offering, not an open-market trickle. Banks buy and distribute a defined block at a defined price. Intel expects to receive cash after fees when the transaction closes. The market is being asked to absorb more than 210 million shares at once. The $95 price is the clearing point chosen to move that inventory. 

The gap between $20 billion gross and approximately $19.7 billion net is about $300 million. That is the visible transaction cost before considering the lasting per-share effect. Once the shares are issued, revenue, operating income, and free cash flow are divided across a wider ownership base. 

At the June count, the base deal would take outstanding shares to about 5.254 billion. If company profit stayed unchanged, earnings per share would fall roughly 4.0% from dilution alone. With the underwriter option fully used, the reduction would approach 4.6%. Those figures are arithmetic, not forecasts; future profit can offset them. 

That condition sets the mission. Intel must deploy the proceeds at returns high enough to exceed the claim it sold. The company has not earmarked the $19.7 billion for one fab, product, or customer contract. “General corporate purposes” preserves flexibility, but it also postpones the evidence investors need to judge the return on the new capital. 

The latest quarter shows both sides of the wager. Revenue expanded and operating cash flow reached $7.0 billion. Yet Intel’s adjusted free cash flow was negative $8.4 billion after capital spending, finance-lease payments, government incentives, and partner contributions. The balance sheet can fund construction. The business must still convert construction into per-share cash generation. 

Management also said Monday that the equity raise supports its commitment to an investment-grade rating. That sentence identifies the alternative it avoided. Another large debt issue would preserve ownership percentages but add interest expense, leverage, and refinancing risk. Selling stock protects the credit perimeter by charging shareholders directly. 

The $20 billion raise is not proof that Intel’s AI plan is winning or failing. It is proof that the plan requires capital on a scale large enough to alter ownership. The decisive number will not be new factory capacity. It will be profit per share after the new capacity enters service. 

RULES OF ENGAGEMENT 

Audit the denominator 

Track the denominator. Revenue growth can look powerful while each share receives less of the result. Compare Intel’s future net income and free cash flow with the post-offering share count, not the June count. Per-share progress is the extraction test. 

Watch the underwriter option and the final prospectus. Full exercise adds another 31.6 million shares. Then follow where the proceeds actually move: fabrication equipment, clean-room space, substrates, working capital, debt reduction, or acquisitions. The label “general corporate purposes” is permission, not a deployment report. 

Separate product demand from foundry economics. Data Center and AI revenue rose 59%, but Intel Foundry lost $2.1 billion at the operating level in the quarter. More AI spending can raise unit volume while the manufacturing network continues to absorb cash. Scale matters only when the incremental wafer earns an adequate return. 

For other AI holdings, inspect the same financing route. Capital expenditures may be funded by operating cash, debt, equity, partners, or government incentives. Each source transfers risk to a different party. A rising share price can make equity the least painful source for management and the easiest dilution for owners to overlook. 

Do not confuse a larger company with a richer share. Intel expects nearly $20 billion of net cash if the offering closes, but it will also expand the number of claims on every future result. If earnings grow slower than the denominator, the AI boom will enlarge the enterprise while shrinking the owner’s portion.
