Trump announced the deal on Truth Social Tuesday night, and the number that stood out wasn’t the tariff rate. It was the split — Japan would invest $550 billion into projects selected by the US government, and Washington, Trump wrote, would “receive 90% of the Profits.”
The tariff rate itself dropped to 15 percent from a threatened 25 — real relief for an auto sector that had already warned of billions in lost profit — but the investment vehicle attached to the deal reads less like a trade agreement and more like a sovereign wealth fund with one government holding the controlling stake in the other’s capital.
A 90 percent profit split on $550 billion of someone else’s capital is not a term any private investor would sign. Japan agreed to it days after its ruling coalition lost its majority in an election — a government that needed a headline win took a structure built to deliver one.
The White House fact sheet listed the target sectors: energy infrastructure, semiconductor manufacturing, critical minerals processing, shipbuilding — the same handful of chokepoints that show up in nearly every other supply-chain fight running through 2025.
Tokyo got a lower tariff. Washington got a fund it controls.
The Operation
No public document has yet clarified how “90% of the Profits” is calculated, over what timeframe, or what happens to the other 10 percent — the number exists in a Truth Social post and a joint statement, not yet in binding contract language.
That ambiguity is itself a position: markets and Japanese officials are being asked to treat a headline split as real before the underlying structure exists, the same pattern that has defined nearly every trade announcement this year.
Japan’s own negotiator called the deal ‘Mission Accomplished’ on social media within minutes of the announcement — before the White House fact sheet listing the terms had even been published. The victory lap started before the paperwork did.
Weeks later, Japanese officials discovered the initial documentation had stacked the new 15 percent rate on top of existing duties rather than replacing them — an error Washington acknowledged and agreed to refund, evidence of how fast the deal moved relative to how carefully it was drafted.
The announcement was clean. The fine print needed a correction before the ink dried.
Rules of Engagement
A $550 billion investment vehicle controlled 90-10 by a foreign government sets a template that other trading partners are now watching — the price of tariff relief may increasingly be a stake in your own country’s capital allocation, not just a lower duty rate.
For American consumers, the near-term relief is real: a 15 percent tariff instead of 25 keeps Japanese autos and parts meaningfully cheaper than they would have been under the letter Trump sent weeks earlier.
The car got cheaper. The fund controlling half a trillion dollars of someone else’s money got built on a term sheet nobody’s seen in full — read the deal, not the split, before you trust either number.
